Skill Licence Agreement

This Licence governs your use of any skill, playbook, script, or other content (each a “Skill”) obtained from SkillingMain, whether purchased individually, included with a subscription, or downloaded free of charge. By downloading, installing, or using a Skill you accept this Licence.

1. What you are buying

You are buying a licence to use instructional content — text, prompts, procedures, and example code intended to be read and executed by AI agents and by you. You are not buying software as a service, a warranty of outcome, or professional advice.

2. Licence granted

Subject to your compliance with this Licence, we grant you a worldwide, non-exclusive, perpetual, non-transferable licence to:

  • use each Skill you have acquired, for personal or commercial purposes;
  • install and run it in any AI agent or tool you control;
  • modify and adapt it for your own use, including inside your own products; and
  • use the outputs produced when you run it, without owing us any royalty.

For a one-off purchase, the licence is perpetual and survives cancellation of any subscription. For Skills accessed solely through an active subscription, the licence to continue accessing new Skills ends when the subscription ends; copies you already downloaded remain yours to use under this Licence.

3. Seat and team scope

An individual licence covers use by one person, plus the machines and agents that person controls. A Team subscription covers the number of seats stated on your plan. Sharing credentials or Skill files with people outside your licence is not permitted.

4. What you may not do

  • Resell, sublicense, or redistribute a Skill substantially as supplied, including publishing it to another marketplace or public repository.
  • Use our content to build a competing catalogue of substantially similar Skills.
  • Remove attribution from a Skill you redistribute internally within your licence.
  • Circumvent access controls, or share paid Skills with people who have not licensed them.

Adapting a Skill and using it inside your own product or workflow is expressly permitted. The restriction targets redistribution of our content as a product, not your use of it.

5. Skills execute actions — you remain in control

Skills instruct AI agents, and those agents may run commands, call third-party APIs, modify files, change cloud infrastructure, and incur costs with third-party providers. This is the point of them, and it carries real risk.

You are solely responsible for reviewing what a Skill does before running it, for the environment you run it in, and for every consequence of running it. We strongly recommend running Skills against non-production environments first, using least-privilege credentials, and requiring human confirmation before destructive or irreversible operations.

6. No warranty

SKILLS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that a Skill will produce any particular result, that it is free of errors, that it reflects current third-party APIs, pricing, or regulations, or that it is suitable for your circumstances. Third-party platforms change frequently and a Skill may become outdated without notice. Any figures — including cost estimates — are illustrative and must be independently verified.

7. Not professional advice

Skills addressing security, compliance, regulatory, financial, or legal subjects are general information only. They are not legal, financial, tax, or professional advice, and do not create any professional relationship. Obtain qualified professional advice before relying on them for a regulated purpose.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF ANY SKILL, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.

THIS EXPRESSLY INCLUDES DAMAGE TO OR LOSS OF SYSTEMS, CODE, OR DATA; UNINTENDED CHANGES TO OR DELETION OF CLOUD INFRASTRUCTURE; SECURITY INCIDENTS; SERVICE OUTAGES; AND CHARGES INCURRED WITH THIRD-PARTY PROVIDERS, INCLUDING CLOUD AND AI USAGE COSTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SKILLS OR THIS LICENCE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SKILL GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE EVENT, OR (B) USD $50.

Nothing in this Licence excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or — where you deal as a consumer — your non-excludable statutory rights. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

9. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of a Skill, your breach of this Licence, or your violation of any law or third-party right — including claims brought by your own customers or employer relating to actions you took using a Skill.

10. Third-party content and services

Skills reference third-party tools, APIs, and documentation. Those are governed by their own terms, and we are not responsible for them. Trademarks and product names belong to their respective owners, and reference to them does not imply endorsement or affiliation.

11. Updates

We may publish updated versions of a Skill. If you purchased that Skill, you receive later versions at no extra cost while it remains available. We may also correct, change, or withdraw a Skill; withdrawal does not revoke your licence to a copy you already downloaded.

12. Termination

This Licence terminates automatically if you materially breach it, in particular the redistribution restrictions in section 4. On termination you must stop using and delete the affected Skills. Sections 5 through 9 survive termination.

13. Governing law

This Licence is governed by the laws of the jurisdiction stated in our Terms of Service, and the dispute-resolution provisions of those Terms apply here.

Before you rely on this document

This is a good-faith draft written for a small software business, not legal advice, and it has not been reviewed by a lawyer. Consumer-protection, distance-selling, and data-protection rules differ by country — particularly in the EU and UK — and some clauses here may be unenforceable in your jurisdiction. Have a qualified lawyer review these terms before you rely on them commercially, and fill in the registered entity details in src/components/Legal.tsx.
